Professional Terms of Service

Agreement to Terms

By submitting an application to be listed in the N3W Professional Directory or by maintaining a listing, you ("Professional," "you," or "your") agree to be bound by these Professional Terms of Service ("Professional Terms") in addition to our general Terms of Service and Privacy Policy.

These Professional Terms constitute a legally binding agreement between you and N3W. If you do not agree to these terms, do not submit an application or maintain a listing on our platform.

Eligibility Requirements

To be listed in the N3W Professional Directory, you must:

• Hold current, valid licenses and credentials required to practice your profession in your jurisdiction
• Maintain professional liability insurance (malpractice insurance) with coverage appropriate to your profession
• Be in good standing with relevant professional boards and regulatory bodies
• Have no history of license suspension, revocation, or disciplinary action related to professional misconduct
• Be at least 18 years of age
• Provide accurate, complete, and verifiable information in your application

Ongoing Eligibility

You must immediately notify N3W of any changes that affect your eligibility, including:

• License expiration, suspension, or revocation
• Disciplinary actions or investigations
• Lapses in professional liability insurance
• Changes in credentials or certifications
• Criminal charges or convictions

Independent Contractor Status

Nature of Relationship

You are an independent contractor, not an employee, agent, partner, or joint venture partner of N3W.

N3W provides a listing platform only. You:

• Operate your own independent practice
• Set your own fees, schedule, and business policies
• Are responsible for your own taxes, including self-employment tax
• Maintain your own professional liability insurance
• Have complete control over how you provide services to clients
• Are not entitled to employee benefits from N3W

No Client Relationship with N3W

Users who contact you through N3W are your clients, not N3W's clients. N3W is not a party to any agreements, arrangements, or transactions between you and users. You are solely responsible for all aspects of the professional relationship, including:

• Client intake and assessment
• Service delivery and quality
• Fee collection and billing
• Professional liability and outcomes
• Compliance with HIPAA or other applicable regulations

Professional Obligations

Standards of Practice

You agree to:

• Adhere to all ethical codes and standards of your profession
• Practice within your scope of practice and competency
• Maintain appropriate boundaries with clients
• Keep client information confidential in accordance with professional standards and applicable laws
• Obtain informed consent from clients before providing services
• Refer clients to appropriate medical professionals when necessary
• Never provide medical advice, diagnosis, or treatment outside your scope of practice

Prohibited Conduct

You agree NOT to:

• Misrepresent your credentials, experience, or qualifications
• Engage in any form of professional misconduct or unethical behavior
• Make guarantees about outcomes or results
• Discriminate against clients based on protected characteristics
• Solicit or accept inappropriate relationships with clients
• Violate client confidentiality or privacy
• Practice under the influence of substances that impair professional judgment

Regulatory Compliance

You are solely responsible for:

• Maintaining all required licenses and certifications
• Complying with state and federal regulations governing your profession
• Ensuring HIPAA compliance if applicable to your practice
• Maintaining required continuing education
• Paying all applicable taxes

Telehealth & Virtual Services

If you provide virtual or telehealth services, you are solely responsible for complying with all licensing, telehealth, and professional practice rules in every jurisdiction where your clients are located. This includes but is not limited to:

• Holding valid licenses in states where you provide services
• Following state-specific telehealth regulations
• Obtaining informed consent for virtual services
• Meeting technology and privacy standards (including HIPAA if applicable)
• Complying with prescribing regulations if applicable to your profession

Listing Requirements

Profile Accuracy

You agree to:

• Provide accurate, current, and complete information in your profile
• Update your profile within 7 days of any material changes
• Use only professional photos and content
• Not make false, misleading, or unsubstantiated claims

ID Verification

All professionals complete identity verification via Stripe Identity, which confirms government-issued identification. Professionals displaying an "ID Verified" badge have completed this process.

Credential Attestation

Professional credentials, licenses, and certifications displayed on profiles are self-reported. By submitting an application, you legally attest that all credentials are current, valid, and verifiable. You authorize N3W to:

• Audit your credentials with licensing boards and educational institutions at any time
• Request updated documentation at any time
• Conduct additional verification (including background checks) if concerns arise
• Remove your listing immediately if false or misleading information is discovered

Profile Display & Ranking

N3W may modify how professionals are ranked, displayed, featured, or recommended in the directory at any time, at our sole discretion. Factors may include but are not limited to: user preferences, location, specialties, availability, verification status, and subscription tier.

Profile Content License

By submitting content for your profile, you grant N3W a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute your profile content solely for the purpose of operating the directory and promoting the platform. This includes the right to use your name, professional title, headshot, and profile content in connection with promoting the directory (such as featured listings, email campaigns, or marketing materials), provided we do not modify your credentials or misrepresent your qualifications.

Fees & Payment

Listing Plans

Professional onboarding happens in the N3 Wellness iOS app. The standard Network listing subscription is $99/month when a paid plan applies. Pricing, trials, and billing terms are disclosed in the app and on n3w.io/pricing before you authorize a charge (for example through Apple In-App Purchase where offered).

Applying or completing identity verification does not by itself create a paid subscription; you must accept disclosed pricing to be billed.

Identity verification

Identity verification may be processed by Stripe Identity as our service provider. That is separate from any future paid Network subscription.

Client Payments

You are responsible for all fee collection and payment processing with your clients. N3W does not process payments between you and your clients and takes no commission on your services.

Liability & Indemnification

Professional Liability Insurance

You represent that you maintain professional liability insurance (malpractice insurance) with coverage appropriate to your profession, scope of practice, and jurisdiction, and that you will keep it current while listed on N3. In the app you may attest to this requirement; N3 does not verify insurance certificates unless we request documentation during a review.

Indemnification

You agree to indemnify, defend, and hold harmless N3W, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your provision of services to clients
• Your violation of these Professional Terms
• Your violation of any laws or regulations
• Your violation of professional ethical standards
• Any misrepresentation in your application or profile
• Any professional negligence or malpractice claims
• Any breach of client confidentiality

N3W's Disclaimer

N3W is not liable for any acts, omissions, or conduct of professionals listed in the directory. N3W does not supervise, direct, or control the services provided by professionals and makes no representations or warranties regarding the quality, safety, or outcomes of professional services.

Termination

Termination by You

You may terminate your listing at any time by contacting support or through your account settings. Upon termination:

• Your profile will be removed from the directory within 7 business days
• You remain responsible for any outstanding fees
• You remain liable for any obligations arising before termination

Termination by N3W

N3W may suspend or terminate your listing immediately and without notice if:

• You violate these Professional Terms
• Your license or credentials are suspended, revoked, or expire
• You receive professional discipline or investigation
• You fail to maintain required insurance
• We receive credible complaints about professional misconduct
• You provide false or misleading information
• Your account payment fails or is in arrears

Effect of Termination

Upon termination:

• All rights granted to you under these terms immediately cease
• Your profile and content will be removed from the directory
• Sections regarding indemnification, liability, and disputes survive termination

General Provisions

Entire Agreement

These Professional Terms, together with our general Terms of Service and Privacy Policy, constitute the entire agreement between you and N3W.

Changes to Terms

We may update these Professional Terms from time to time. We will notify you of material changes via email. Your continued listing after changes become effective constitutes acceptance of the updated terms.

Governing Law

These Professional Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Professional Terms will be resolved through binding arbitration as described in our general Terms of Service.

Severability

If any provision of these Professional Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
