Terms of Service

Acceptance of Terms

By accessing or using N3W ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and N3W. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Service Description

N3W™ operates N3 Wellness, a native iOS application, together with the public website at n3w.io for marketing, directory discovery, and legal information. There is no consumer or professional web application for signing in and using the product—day-to-day use happens in the iOS app.

The Service provides:

• AI-powered chat for wellness guidance and information (in the N3 Wellness app)
• A directory of independent wellness professionals with self-reported credentials
• Tools to discover professionals and send booking requests (confirmation is up to the professional)
• Educational content on the public website

User Accounts

Account Creation

• You must be at least 18 years old to use N3 Wellness
• Consumer accounts are created in the N3 Wellness iOS app (for example via Sign in with Apple or Google)
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You must not share your account credentials with others

Account Responsibilities

You are responsible for:

• All activity that occurs under your account
• Keeping your contact information up to date
• Notifying us immediately of any unauthorized access
• Complying with all applicable laws and regulations

Account Termination

You may delete your account at any time from Settings in the N3 Wellness app (permanent deletion after you confirm by typing DELETE). Active Apple subscriptions must be cancelled separately in your Apple ID subscription settings. We reserve the right to suspend or terminate accounts that violate these Terms or engage in harmful behavior.

Acceptable Use Policy

You agree NOT to:

Prohibited Activities

• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Harass, abuse, or harm other users
• Share false, misleading, or deceptive information
• Impersonate another person or entity
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to systems
• Use automated tools to scrape or collect data
• Reverse engineer or decompile the Service
• Upload malware, viruses, or harmful code

Medical Advice Prohibition

• Do not use N3W as a substitute for professional medical care
• Do not share sensitive health information in public areas
• Do not request emergency medical assistance through N3W
• In case of emergency, call 911 or your local emergency number

Professional Users

If you are a professional in our directory, you additionally agree to:

• Maintain current, valid licenses and credentials
• Comply with your profession's ethical guidelines
• Not provide medical advice outside your scope of practice
• Maintain professional liability insurance
• Report any credential changes or legal issues

Professional Directory

Platform Nature & Independent Contractors

N3W operates as a listing platform connecting users with wellness professionals. All professionals in our directory are independent contractors who operate their own practices. N3W is not a party to any agreements between users and professionals, does not employ or supervise professionals, and is not responsible for the services they provide.

Verification Process

Professionals in our directory complete identity verification and self-attest to their credentials. N3W does not independently verify professional licenses or credentials with licensing boards. Users are responsible for independently verifying a professional's credentials before engaging services. See our Verification Policy for details.

Booking Requests

When you request a time with a professional in the app, the request is submitted in a pending state. It is not a confirmed appointment until the professional accepts or confirms. N3 does not guarantee availability, response times, or outcomes.

User Responsibility

You are responsible for:

• Verifying a professional's credentials independently
• Conducting your own due diligence before engaging services
• Ensuring the professional is licensed or qualified in your jurisdiction

Payments & Subscriptions

Consumer plans (N3 Wellness app)

AI and Network features in the consumer app may require a paid subscription. Current consumer plans are offered as monthly subscriptions through Apple In-App Purchase, managed with RevenueCat. Plan names, prices, and features are shown in the app and on our pricing page and may change over time. As of this update, consumer plans include:

• N3 AI: Entry paid tier with chat, Network access, and included AI usage
• N3 Plus: Higher included AI usage and Plus-tier features (such as web search, image understanding, file attachments, and voice transcription where available)
• N3 Pro: Highest included AI usage and Pro-tier capabilities in the app

Eligible new subscribers may receive an introductory trial for N3 Plus as determined by Apple. Trial and renewal terms are shown at purchase in the App Store.

Included AI usage

Each paid plan includes a monthly included AI usage allowance for chat and certain advanced features. Usage is metered in the app; when included usage is exhausted, some features may pause until your allowance resets or you change plans. See our Fair Use & Usage Policy for acceptable use and abuse prevention.

Consumer billing, refunds, and cancellation

• Consumer subscriptions are billed by Apple, not by N3W directly
• Manage, upgrade, downgrade, or cancel in Settings → Subscriptions on your Apple ID or through the in-app subscription management links
• Refunds for App Store purchases follow Apple's policies
• Prices may change when reflected in the App Store; Apple handles price consent for renewals

Professional Network

Professionals apply and manage listings in the N3 Wellness app. Standard Network listing subscription pricing is $99/month when a paid plan applies; current pricing and any trial or promotional terms are shown in the app and on n3w.io/pricing before you are charged.

Stripe Identity is used for professional identity verification where required. It is separate from consumer AI subscriptions, which are billed through Apple (and managed via RevenueCat for entitlements). N3W does not process payments between clients and professionals for booked services.

Intellectual Property

Our Content

All content on N3W, including text, graphics, logos, software, and functionality, is owned by N3W or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may NOT:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Create derivative works based on our Service
• Remove copyright or proprietary notices

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

User-Generated Content

Your Content

You retain ownership of content you create on N3W (for example messages and feedback). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content as necessary to provide the Service.

Uploaded Images & Files

When you upload images or files to N3W:

• Processing: Images may be analyzed by AI vision models (OpenAI, Google) to provide relevant responses
• Retention: Uploaded images and files may be stored temporarily to support chat and analysis and are removed when you delete related content or your account, or during routine cleanup
• Privacy: EXIF metadata (GPS, camera information) is removed before processing
• Responsibility: You are responsible for ensuring you have the right to upload and share any images or files
• Prohibited Content: Do not upload inappropriate, illegal, or copyrighted content

AI Memory System

N3W uses AI memory technology (Mem0) to personalize your experience by remembering important details about your preferences, goals, and wellness journey.

• Automatic Extraction: Memories are automatically generated from your conversations
• Your Control: You can view, pause collection, or delete memories at any time in Settings
• Retention: Memories persist until you manually delete them or delete your account
• Third-Party Storage: Memories are stored securely via Mem0, a third-party AI memory service

Content Restrictions

You may not post content that:

• Violates laws or regulations
• Infringes on intellectual property rights
• Contains personal information of others without consent
• Is defamatory, obscene, or offensive
• Promotes illegal activity or violence
• Contains malware or harmful code

Content Moderation

We reserve the right to remove content that violates these Terms or is otherwise objectionable. We are not obligated to monitor all content but may do so at our discretion.

Disclaimers & Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses

No Medical Advice

N3W does not provide medical advice, diagnosis, or treatment. AI-generated responses are for educational purposes only. Always consult qualified healthcare professionals for medical decisions.

Professional Services

N3W™ is a platform that connects users with professionals. We are not responsible for the services provided by professionals, their qualifications, or their conduct. Any engagement with professionals is solely between you and the professional.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N3W SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold N3W harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of others.

Termination

By You

You may delete your account at any time from Settings in the N3 Wellness app or by contacting support.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or harmful behavior
• Your account is inactive for an extended period
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination:

• Your access to the Service will end when your account is deleted or suspended
• When you confirm account deletion in the app, we process permanent deletion of your account data, chats, and memories as described in our Privacy Policy (subject to legal retention requirements)
• Active Apple subscriptions are not automatically cancelled—you must cancel through Apple
• Payment and tax records may be retained as required by law
• Provisions that should survive termination will remain in effect

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us at support@n3w.io to attempt to resolve the dispute informally.

Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Florida, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class arbitrations.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
